In plain English: by using PD-Proxy you agree to these terms. You must be an adult, keep your login to yourself and use the service lawfully. Paid plans renew automatically until you cancel, and you can get a full refund within 7 days of your first purchase if you have used less than 1 GB. We work hard to keep the service fast and available, but we cannot guarantee it will never be interrupted. If you break the rules, for example by spamming, attacking other networks or sharing your account, we can suspend or close your account.

    1. Acceptance of these terms

    These Terms of Use ("Terms") form a binding agreement between you and PD-Proxy ("PD-Proxy", "we", "us" or "our") for the use of our virtual private network (VPN) communications services, Wi-Fi security services, proxy services and related software, together with our website at www.pdproxy.com (collectively, the "Service"). The Service includes our Personal VPN, Premium Proxies, Wi-Fi Protection, Streaming & Gaming servers and Business VPN, and our applications for Windows, macOS, Linux, Android and iOS.

    By creating an account, downloading or installing our software, purchasing a plan or otherwise accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by the following policies, which are incorporated by reference:

    • our Privacy Policy, which explains our no-logs commitment and how we handle the limited data we hold;
    • our Acceptable Use Policy, which sets out what you may and may not do with the Service;
    • our Refund Policy, which explains our 7-day money-back guarantee;
    • our Cookie Policy, which describes the browser storage used on our website.

    If you do not agree with these Terms, you must not use the Service. If you are accepting these Terms on behalf of a company or other organisation, for example when setting up a Business VPN team, you confirm that you have authority to bind that organisation, and "you" refers to both you and the organisation.

    2. Eligibility

    You may use the Service only if you are at least 18 years old, or the age of majority in the jurisdiction where you live if that is higher, and you are legally capable of entering into a binding contract. By using the Service, you represent that you meet these requirements.

    You may not use the Service if you are prohibited from receiving it under the laws of the country in which you are located, or if we have previously terminated your account for a breach of these Terms. You are responsible for ensuring that your use of a VPN or proxy is lawful where you are. Some countries restrict or regulate VPN use; PD-Proxy makes no representation that the Service is lawful or appropriate in every location.

    3. Accounts and security

    3.1 Creating an account

    To use the Service you must register an account with a valid e-mail address, a username and a password. You agree to provide an e-mail address at which you can receive messages, and to keep it up to date, because we use it to send your login details, receipts, renewal reminders and important security notices.

    3.2 Keeping your account secure

    You are responsible for keeping your username and password confidential and for all activity that takes place under your account. If you believe your account has been accessed without permission, change your password immediately and notify us at [email protected]. We are not liable for loss arising from unauthorised use of your account where you failed to keep your credentials secure.

    3.3 One person, one account

    Individual accounts are personal to the account holder. You may not sell, transfer, lend or share your account or login details with any other person, whether or not you charge for it. Business VPN plans are the only plans designed for multiple users, and each team member must have their own seat.

    Premium Proxies are sold separately from $2.99 per proxy per month, and Business VPN from $6.99 per user per month, with an optional dedicated IP add-on at $3.99 per month. We may change, add or remove features of the free plan at any time. We will not materially reduce the features of a paid plan during a billing period you have already paid for.

    5. Billing, auto-renewal and price changes

    5.1 Payment

    Paid plans are billed in advance for the full billing period you select (1, 6 or 12 months, or monthly for Premium Proxies and Business VPN seats). You can pay by PayPal or by major credit or debit card processed by PayPal, or with local payment methods through our authorised resellers. All prices are shown in US dollars unless stated otherwise. Prices may not include taxes such as VAT or sales tax, which may be added at checkout where applicable.

    5.2 Automatic renewal

    Where you pay through a PayPal subscription or a saved card, your plan renews automatically at the end of each billing period for a period of the same length, and the renewal price is charged to the payment method on file, unless you cancel before the renewal date. We will send a reminder e-mail before renewals of plans of 6 months or longer. Plans purchased through a reseller or with a one-time payment do not renew automatically; you will need to buy a new period before your plan expires.

    5.3 Failed payments

    If a renewal payment fails, we may retry it and will notify you. If payment cannot be collected, your account will revert to the free plan at the end of the paid period.

    5.4 Price changes

    We may change our prices from time to time. A price change will never affect a billing period you have already paid for. If the price of your renewing plan is going to change, we will notify you by e-mail at least 30 days before the change applies to your next renewal, giving you the opportunity to cancel. If you do not cancel, the new price will apply from your next renewal. Promotional prices apply only to the stated period.

    6. Cancellation

    You can cancel auto-renewal at any time, either in your member area, directly in your PayPal account under automatic payments, or by writing to [email protected]. Cancellation stops future renewals. Your paid plan remains active until the end of the period you have already paid for, after which your account reverts to the free plan. To avoid being charged for the next period, cancel at least 24 hours before the renewal date.

    Cancelling is not the same as requesting a refund. If you want your money back, see the next section.

    7. Refunds

    We offer a 7-day money-back guarantee: you can receive a full refund within 7 days of your first purchase if less than 1 GB of data has been transferred on your account. Renewals are refundable within 48 hours of the renewal charge if the renewed period has not been used. Purchases made through resellers are refunded through the reseller. The full conditions, exceptions and processing times are set out in our Refund Policy, which forms part of these Terms. Nothing in these Terms limits any statutory right to a refund you may have under consumer protection law where you live.

    8. Acceptable use

    You may use the Service to protect your privacy and security online, to secure your connection on public and untrusted Wi-Fi networks, to access content and services you are entitled to use, and for any other lawful purpose. Your use of the Service must at all times comply with our Acceptable Use Policy and with all laws that apply to you.

    A VPN is a privacy tool, not a licence to break the law. Our no-logs commitment protects your privacy; it does not mean we tolerate abuse. We monitor our network for patterns of abuse that affect the service as a whole, such as outbound spam or attack traffic, without logging individual users' activity, and we act on credible reports sent to [email protected].

    9. Prohibited uses

    Without limiting the Acceptable Use Policy, you agree not to use the Service, directly or indirectly, to:

    1. send unsolicited bulk e-mail, messages or other forms of spam, or operate open relays or open proxies;
    2. upload, post, transmit or store any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene or invasive of another's privacy;
    3. create, possess, distribute or access child sexual abuse material under any circumstances;
    4. infringe any copyright, trademark, patent, trade secret or other intellectual property right of any person;
    5. gain or attempt to gain unauthorised access to any computer, network, account or data ("hacking"), including by password guessing, credential stuffing or exploiting vulnerabilities;
    6. launch denial-of-service attacks, port scans, vulnerability scans or network reconnaissance against systems you do not own or are not authorised to test;
    7. create, distribute or control viruses, worms, trojans, ransomware, botnets or other malicious software;
    8. commit fraud, including payment fraud, phishing, identity theft, or impersonating any person or organisation;
    9. harass, threaten, stalk or intimidate any person;
    10. violate the laws of your country of residence, the country of the server you connect to, or any applicable international law, including export control and sanctions laws;
    11. interfere with or disrupt the Service, our servers or networks, or other users' use of the Service;
    12. resell, sublicense, or provide the Service to third parties without a written reseller agreement with PD-Proxy;
    13. circumvent plan limits, including data limits, device limits or restrictions on free servers, for example by creating multiple free accounts;
    14. reverse engineer, decompile or modify our software except to the extent permitted by applicable law.

    10. Device limits and no sharing

    Each Premium account may be connected on up to 5 devices simultaneously. Free accounts are subject to the free-plan limits described on our website. The devices must belong to, or be used by, the account holder. If you attempt to exceed the limit, the new connection may be refused or the oldest session disconnected.

    Manual configuration of routers, gateways or other devices that share a single VPN connection with multiple users is not supported on individual plans, because it effectively shares the account. Running our Service on a router, a server that relays traffic for others, or a shared network, and making your account credentials available to other people are all treated as account sharing. If we detect sharing, we may reset your password, reduce your device limit or suspend your account. If you need multiple users, choose a Business VPN plan.

    11. Service availability and maintenance

    We aim to keep the Service available 24 hours a day, 365 days a year, and we monitor our servers continuously. However, the Service is provided over the public internet and depends on data centres, network carriers and other third parties outside our control. We therefore do not guarantee that the Service will be uninterrupted, error-free, or available at any particular speed, or that any particular server location will always be available.

    We may carry out scheduled maintenance, which we try to perform at times of low usage and, where possible, announce in advance. We may also need to perform emergency maintenance without notice to protect the security or stability of the Service. We may add, move or remove server locations, change IP addresses and update supported protocols (currently WireGuard, OpenVPN over UDP and TCP, IKEv2/IPsec and Stealth TCP-443 mode) as technology and circumstances change.

    Connection speeds depend on many factors, including your own internet connection, distance to the server, network congestion and the protocol you choose. Access to particular websites or streaming services through our servers is not guaranteed, because third parties may block VPN or data-centre IP addresses.

    12. Blocked ports and network restrictions

    To protect our network and the reputation of our IP addresses, we block outbound SMTP traffic on port 25 and certain other abuse-prone ports on all servers. This prevents our servers from being used to send spam. If you need to send e-mail while connected, use your e-mail provider's authenticated submission ports (usually 587 or 465), which are not blocked. Free servers may also restrict certain high-bandwidth categories of traffic. Peer-to-peer file sharing is permitted only on servers we designate for that purpose, and only for lawful content.     13. Third-party content and services

    The Service gives you access to the internet, which contains content and services operated by third parties. We do not control, endorse or take responsibility for any third-party website, application, content, product or service you access through the Service, and your use of them is governed by their own terms and privacy policies.

    Payments are processed by PayPal and, where applicable, by our authorised resellers, under their own terms. The What is my IP feature on our website uses a third-party IP geolocation service, as described in our Cookie Policy.

    14. Intellectual property

    The Service, including our software, apps, website, text, graphics, logos, the PD-Proxy name and all related trademarks, is owned by PD-Proxy or our licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to download, install and use our applications on devices you own or control, solely to access the Service for your own use.

    You may not copy, modify, distribute, sell or lease any part of the Service or our software, or use our trademarks without our prior written permission.

    15. Disclaimers

    To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

    A VPN is an important privacy and security tool, but no technology offers perfect anonymity or protection. The Service encrypts traffic between your device and our servers and masks your IP address from the sites you visit; it does not protect you against malware already on your device, phishing, tracking by services you log in to, or information you choose to share. We do not warrant that the Service will meet your requirements, that it will make you anonymous in every situation, or that it will allow you to access any specific content.     Nothing in these Terms affects your statutory rights as a consumer that cannot be waived or limited by contract.

    16. Limitation of liability

    To the maximum extent permitted by law:

    • PD-Proxy will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with the Service or these Terms, even if we have been advised of the possibility of such damages;
    • PD-Proxy's total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) US $50.

    These limitations do not apply to liability that cannot be limited or excluded by law, such as liability for death or personal injury caused by negligence, or for fraud.

    17. Indemnity

    You agree to indemnify and hold harmless PD-Proxy and its officers, staff, resellers and service providers from any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or in any way connected with (a) your breach of these Terms or the Acceptable Use Policy, (b) your violation of any law or the rights of any third party, or (c) any content you transmit through the Service. This obligation does not apply to the extent a claim results from our own breach or negligence, and it applies to consumers only to the extent permitted by applicable law.

    18. Suspension and termination

    18.1 By you

    You may stop using the Service at any time and may ask us to close your account by writing to [email protected]. Closing your account does not by itself entitle you to a refund, except as provided in the Refund Policy.

    18.2 By us

    We may suspend or terminate your account, with or without notice, if we reasonably believe that you have breached these Terms or the Acceptable Use Policy, that your use poses a security or legal risk to PD-Proxy or others, that you have made a fraudulent payment or chargeback, or if we are required to do so by law. Our general approach is proportionate: for minor or first-time issues we usually warn first, while serious abuse such as distributing child sexual abuse material, attacks or fraud leads to immediate termination. Accounts terminated for a breach are not entitled to a refund.

    If we discontinue the Service entirely, we will give you at least 30 days' notice and refund the unused portion of any prepaid subscription.

    18.3 Effect of termination

    When your account ends, your right to use the Service stops immediately. Sections that by their nature should survive termination, including those on intellectual property, disclaimers, limitation of liability, indemnity and governing law, will continue to apply.

    19. Governing law and disputes

    These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the jurisdiction in which PD-Proxy is established, without regard to its conflict-of-law rules. If you are a consumer, you also benefit from any mandatory protections of the law of the country where you live, and nothing in these Terms deprives you of those protections.

    Informal resolution first. Most problems can be solved quickly by talking to us. Before starting any formal proceedings, you agree to contact us at [email protected] with a description of the issue and the outcome you seek, and to give us at least 30 days to try to resolve it informally. We will do the same for any claim we have against you.

    If the dispute is not resolved informally, it will be submitted to the courts of the jurisdiction in which PD-Proxy is established, unless mandatory consumer protection law gives you the right to bring proceedings in the courts of your place of residence.

    20. Changes to these Terms

    We may update these Terms to reflect changes in the Service, the law or our business. The "Last updated" date at the top shows when they were last changed. If we make a material change, we will notify account holders by e-mail or through a notice on our website or apps at least 30 days before it takes effect. Your continued use of the Service after the effective date means you accept the updated Terms. If you do not agree, you may cancel your plan before the change takes effect and, if the change materially disadvantages you, request a pro-rata refund of any unused prepaid period.

    21. General

    • Entire agreement: these Terms and the policies they refer to are the entire agreement between you and PD-Proxy regarding the Service.
    • Severability: if any provision is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision is modified to the minimum extent necessary.
    • No waiver: our failure to enforce a provision is not a waiver of our right to do so later.
    • Assignment: you may not assign your rights under these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets, subject to our Privacy Policy.
    • Force majeure: we are not responsible for failure or delay caused by events beyond our reasonable control, such as natural disasters, network outages at upstream providers, government action or large-scale attacks.
